CORBA ORGANIZATIONAL MEETING 12-7-05
Meeting Minutes

Members Present: Brian Flug, Nate Seckora, Ty Krajewski, Kevin Roytek, Pat Rasmus, Sarah Goss, Roger Magnuson, Shane Sullivan, Steve Sletner, Tim Goers, Andy Goers, Dave Olson, Bob Schwartz, Asagi Seeley, Chris Dean, Bernie Hoefgen, Laura Plummer, Jay Plummer.

Meeting was called to order at 7:00pm. 

Introductions – Introductions completed. 

Status update – 501c3 / Incorporation process
L. Plummer shared information on the process of obtaining tax exmempt status using a 5013c; obtaining an EIN#, and completing articles of incorporation. 3-8 month process. Board of Directors must be established prior to application. 

Application materials provided by Friends of Hickory Ridge Trail that we can follow. 

Organizational Structure – proposed / election of officers
5 positions: President, VP, Secretary / Treasurer, Trail Marshall, Board Member at Large. 

Motion Made by B. Hoefgen; Seconded by J. Plummer. to elect the following: B. Hoefgen; Seconded by J. Plummer.
Officers elected: Chris Dean – President; Asagi Seeley – Vice President; Laura Plummer – Secretary / Treasurer; Craig Manthe – Trail Marshall; Pat Rasmus – Member at Large. Three counties represented on the Board (EC, Chip, Dunn). One year terms. No limit on terms a member can serve. Board members elected at annual meeting held in December of each year. 

Bylaws obtained from Friends of the Hickory Ridge Trail and will be used to create CORBA bylaws. 

Membership – discussion of annual membership fee
$20 annual membership fee for individual / family?
$50 annual business / shop membership fee?

Motion made by S. Sletner for the Board to create a dues structure of an annual fee for individuals and for businesses, with a mechanism in place for volunteer time to be credited towards annual dues on a $1/hour basis. Motion passed. 

Member benefits – laminated trail map for Lowes Creek, voting rights at annual meeting or other meetings as needed….

Business membership benefits – laminated trail map for shop, voting rights, logo on back of map / ad space in newsletter. Three “free” memberships to employees of business members. 

Fees provide some start-up money, application fees for non-profit status, insurance for group events etc. Fee would run Jan – December each year. 

Trail Development – where are we now?
Lowes Creek – signage to be done in the spring with money set aside with EC County. Ongoing development on small sections approved by EC County. Discussion of winter use – update will be forthcoming from John Staszcuk. 

Calendar should be set up for trail workdays. Will be a set day/week of the month. 

Hickory Ridge – upcoming mapping project with Friends of the Hickory Ridge Trail system in Chippewa County. 

Additional suggestions: Maps located on the Hwy 93 side of the park in addition to the Expo fence area and main parking area. 

Other – 
Fund Development – grants, donations. S. Sletner suggested looking into businesses that have “matching” grant / employee programs. 

Wors Race – what role should CORBA play? Discussion regarding WORS Race. This year CORBA would serve as an “expense” to the Race Committee and membership would discuss for future years. Possibly, a CORBA special project group would take on the race organizational tasks? 

CORBA sponsored events – “learn to ride clinics” “group rides” 

Other ideas:
Next meeting to be held in early march as a membership kickoff event.

Short meetings prior to group rides.
Fun meetings; vacation slide shows, etc.
